Terms of Service

These terms are between you (the business signing up, and its authorised users) and Shivaura Enterprises, which operates Distiqo AI (“we”, “us”). You accept them when you create an account: we show you these terms and our Privacy Policy in full, and you accept each one separately and sign with your name. We keep a record of that (see our Privacy Policy). By accepting, you also confirm you are 18 or older and allowed to accept these terms for your business. When these terms change in a way that matters, we ask you to accept the new version before you carry on.

Distiqo AI is AI-assisted business software in two products: the Distribution OS for FMCG distributors (orders, billing, stock, purchasing, collections, dispatch, GST records and reports) and the Retailer OS for shops (counter billing, stock, customer credit, purchases, books and GST). Some features use AI to read messages and documents and to suggest actions. Each account is for one of the two products.

AI output is assistive and can be wrong. Anything that changes money or stock waits for a person to approve it. You are responsible for reviewing what the system prepares — especially GST filings, dispatch confirmations and credit decisions — before you rely on it.

• You are responsible for your users, the roles you give them and the security of their sign-ins. Password sign-ins are confirmed with a one-time code emailed to the account's address, so you must keep control of that inbox. Only choose “don't ask for a code on this browser” on devices you control, and revoke trusted browsers in Settings if a device is lost.
• Team members you invite verify their email with a one-time code before their account is activated. You decide their role and which pages they can open; you're responsible for keeping those permissions appropriate.
• Keep your credentials confidential and tell us straight away if you think an account has been compromised.
• Give us accurate information, including your firm's GSTIN and any GST or GSP credentials. Don't provide false credentials or GSTIN numbers.

You agree not to:

• use the service for anything unlawful;
• try to get around the separation between customers or reach anyone else's data;
• test the security of the service without our written permission;
• upload malware or interfere with the service;
• resell the service without agreeing that with us first.

We may suspend an account that breaks these rules, and will tell you why.

As between us, you own the data you put into Distiqo. For personal data about your retailers, staff and contacts, your business is the Data Fiduciary and we process it on your behalf, as described in our Privacy Policy. You're responsible for having a proper basis to give us that data. We don't sell it.

A distributor and a shop that both use Distiqo can link their accounts, by invitation or request, and only once both sides agree. Once linked:

• A shop can see the distributor's catalogue, its prices and schemes for that shop, the bills issued to that shop, and their messages. It never sees the distributor's stock, costs, margins or other customers.
• A distributor receives the orders, payments and messages the shop sends it, and — if the shop leaves sharing on — how the distributor's own products sell in that shop. It never sees the shop's customers, other suppliers, prices, margins or cash.
• An order a shop places is a request until the distributor approves it. Prices, schemes, credit and delivery are agreed between the two businesses, not by us.

Distiqo AI is not a party to trades between businesses on the network, doesn't hold or move their money, and isn't responsible for disputes between them over goods, prices or payment. Either side can end a link at any time.

E-invoices and e-way bills are sent to the government portal through our licensed GST Suvidha Provider (GSP) partner, using the e-invoice and e-way bill login you connect for your business. Distiqo AI is not itself a GSP or a government-certified filing authority, and you remain responsible for what you file. We aren't responsible for delays or failures caused by government portals, our GSP partner, telecom networks or WhatsApp.

You can start with a 14-day free trial on your own data. After that, plans are charged monthly or yearly, as you choose, at the price shown when you subscribe. There is no setup fee and no contract. Prices exclude GST, which is added to every invoice.

Distiqo AI is in private beta. We don't make an uptime commitment yet, and the service may change or be interrupted as we build. We take backups and work to recover quickly, but we can't promise the service will always be available or error-free. When AI or WhatsApp is unavailable, the core billing, stock and ledger features keep working.

We own Distiqo AI — the software, design and content. You get the right to use it for your business while your account is active. You keep ownership of your own data and documents.

The service is provided on an “as is” and “as available” basis during private beta. To the extent Indian law allows, we are not liable for indirect or consequential loss, or for loss caused by decisions made on AI suggestions, third-party outages or events outside our control. Nothing here limits any right you have under law that can't be limited.

You can cancel any month. We may end or suspend access if these terms are broken or the law requires it. When it ends, you can ask for a full export of your data; once you confirm it, we delete what remains within a reasonable period, keeping only what the law requires us to keep.

If we change these terms in a way that matters, we'll update this page and its date and tell active customers before it takes effect.

These terms are governed by the laws of India. We would always rather sort out a problem by talking first: write to info@distiqoai.com. Any dispute we can't settle that way will be handled by the competent courts in India.
